Family Office Co Investments How to Assess the Opportunity

Co-investing can provide access and shared expertise, but the lead investor, governance terms and information rights deserve as much scrutiny as the underlying asset.

Understand why the opportunity is being shared

The first question in a co-investment is why another party is inviting capital. The answer may be positive: concentration limits, a larger transaction, access to complementary expertise or a desire to build a long-term relationship. It may also reveal weaker conviction or difficult funding conditions. The reason should be understood before the asset is analysed in isolation.

Assess the lead investor

The lead’s track record, sector knowledge, sourcing advantage, decision process and behaviour in difficult situations are central to the opportunity. Alignment depends on how much capital the lead is investing, the economics it receives, its time horizon and whether it has conflicts involving another fund, affiliate or portfolio business.

Define governance and information rights

Minority capital can carry meaningful influence if rights are designed well. Investors should examine board representation or observation, reserved matters, reporting, future funding, dilution, transfers, tag and drag provisions and exit mechanisms. These terms determine how the relationship functions when interests later diverge.

Run independent judgement

Participation by a respected investor is evidence, not a substitute for diligence. The family office should form its own view of valuation, downside, management, financing needs and exit routes. It should also test how the investment affects existing sector, geography and liquidity exposure.

Plan for follow-on capital

A company may need more capital than the initial round suggests. The office should decide in advance whether it can and wants to follow on, what milestones would justify doing so and how a decision not to participate could affect ownership and influence.
