A buy-side adviser should do more than circulate deals. The real value lies in defining what to buy, finding targets others may miss and maintaining discipline through execution.
A successful acquisition programme begins with a clear reason to buy. The thesis should explain the capability, cash flow, market access or strategic position the family wants to acquire. It must then translate that ambition into criteria that can guide research and outreach. Vague instructions such as ‘profitable technology businesses in Europe’ are too broad to produce an efficient process.
Target identification should cover businesses that are actively for sale and those that are not. A longlist is built from sector research, ownership data, transaction history, networks and direct market knowledge. The list is then narrowed according to fit, scale, likely ownership objectives and the probability that a constructive conversation can be opened.
Owners respond better to a credible strategic rationale than to generic acquisition messages. Initial outreach should identify the buyer appropriately, explain why the business is relevant and create a low-pressure route to a confidential discussion. Where anonymity is required, the adviser can test interest before disclosing the principal.
An acquisition can be a good business and a poor investment at the same time. Valuation should reflect the quality and durability of earnings, customer concentration, management dependence, capital requirements, competitive risk and the buyer’s realistic ability to create value. Synergies should be tested rather than used to excuse an inflated price.
Once interest becomes serious, the process expands across financial, commercial, legal, tax, operational and sometimes regulatory diligence. A buy-side adviser helps maintain a single view of the issues, their effect on value and the protections required in the transaction documents. The objective is not to eliminate uncertainty; it is to understand it well enough to make a deliberate decision.
